Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zinga Procure, operated by Aspire Digital Group Pty Ltd (“Zinga”, “we”, “us”). By creating an account or using the platform you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
1. The service
Zinga Procure is a platform that connects venues and suppliers to place and manage orders, exchange invoices, process payments and reconcile records. We provide the platform “as a service”; we are not a party to the supply contract between a venue and a supplier and do not take title to the goods ordered through it.
2. Accounts & access
Access is via Aspire Hub single sign-on. You are responsible for activity under your account and for keeping your credentials secure. You must provide accurate information, and suppliers must complete business verification (including ABN) before they can transact. We may suspend or terminate access for breach of these Terms or suspected fraudulent or unlawful use.
3. Orders, invoices & payments
Orders placed through the platform are offers to purchase on the terms agreed between you and the counterparty. Pricing, availability, delivery and acceptance are the responsibility of the transacting parties. Payments are processed by our third-party payment providers; by transacting you authorise the relevant charges, settlement and payout timing described at checkout. You are responsible for your own taxes (including GST) arising from your transactions.
4. Your content & conduct
You retain ownership of the data and documents you upload. You grant us a licence to host and process that content as needed to operate the service. You must not misuse the platform — including uploading unlawful content, infringing others’ rights, interfering with the service, or attempting to gain unauthorised access.
5. Availability
We aim to keep the platform available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features, and perform maintenance, from time to time. Where practicable we will give reasonable notice of material changes.
6. Liability
Nothing in these Terms excludes rights you have under the Australian Consumer Law or other rights that cannot lawfully be excluded. Subject to those rights, the platform is provided “as is”, and to the extent permitted by law we exclude implied warranties and limit our liability for loss arising from your use of the platform. We are not liable for the acts or omissions of the venues or suppliers you transact with.
7. Governing law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
